Terms of Service
Last updated: September 29, 2026
1. Agreement to these Terms
These Terms of Service ("Terms") are an agreement between you and Jorv Pty Ltd (ABN 90 702 340 181), Australia ("Jorv", "we", "us"). By accessing or using Jorv software and services ("Services"), you agree to be bound by these Terms. If you use the Services for an organisation, you agree to them on its behalf and confirm you have authority to do so. If you do not agree, do not use the Services.
Jorv is developed by Atmospherique Pty Ltd (ACN 631 112 662), which owns it. We are its authorised distributor and sell and license Jorv under a licence from Atmospherique Pty Ltd.
A signed Enterprise agreement between your organisation and us takes precedence over these Terms where the two differ.
2. The Services
Jorv is software for planning, building and shipping work with an AI assistant, on desktop, web and mobile. You download it and run it on infrastructure you choose and manage: your own machine or servers your organisation controls. Jorv connects to third-party AI providers (such as Anthropic, OpenAI and Google), or to a model running locally, using keys or accounts that you provide, and signs you in through your own identity provider. We do not host your Jorv or your content.
Features marked "at launch" on our website are not yet available. We may change, add or remove features over time; we will not remove a core feature of a paid tier during a billing period you have already paid for.
3. Accounts, organisations and AI provider keys
You are responsible for activity under your account and for keeping your sign-in, licence and connect codes secure. An organisation's administrators decide who joins it, what each person can see and do, and which seats are paid.
Jorv uses a Bring Your Own Keys model. You obtain your AI provider keys and accounts yourself, you are responsible for the provider's charges and for complying with its terms, and your use of a provider is governed by your agreement with it.
4. Purchases, subscriptions and billing
Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders: it sells you the subscription, processes the payment, collects and pays any tax, and handles billing enquiries, cancellations and refunds under Paddle's Buyer Terms. Your licence to use Jorv is granted by us under these Terms.
- The Free tier is a licence at no charge for one seat, renewed monthly for as long as you keep using it. Pro and Enterprise are sold per seat, monthly or yearly; a yearly subscription for one seat is priced at 10 months, and every paid seat gets cheaper as paid seats are added, to 40% below the monthly price at 50 paid seats.
- All prices include any sales tax, VAT or GST that applies to you, which Paddle calculates, collects and pays. The amount charged is the total shown at checkout, and your invoice shows the tax separately. Where a business accounts for the tax itself, a registered business that enters its tax number at checkout pays the price without tax. Prices are charged in your local currency in Australia, New Zealand, Canada, the eurozone, the United Kingdom, Switzerland, India and China, and in US dollars elsewhere.
- A seat is counted when a person first signs in to your organisation's Jorv, not when they are invited. Guests who only review or approve, and the billing role, take no paid seat. Monthly, every seat is charged at the list price for its tier. Yearly, every paid seat is charged at the published volume price for the subscription's number of paid Pro and Enterprise seats; Free licences and guests are not counted, and a change in paid seats re-prices every seat for the rest of the year, prorated. Enterprise agreements, from two paid seats on a 12- or 24-month term, use the same schedule and are set out in a separate written agreement.
- Students and educators with an .edu.au or .ac.uk email address may use Pro free for 3 months, with no payment card, and then buy it at the student price, 50% off, or continue on Free. Eligibility is checked by a link sent to that address. The student program is for one seat and non-commercial use, and eligibility is re-verified every 12 months. We intend to extend it to other countries. The Enterprise agreement's volume schedule and the student price never combine on one seat.
- Referral credits for customers and commissions for affiliates are governed by the Referral Program Terms and the Affiliate Program Terms, which are published before those programs open. Credits and commissions already earned under them are not withdrawn except for fraud, a refund or chargeback, or a breach of those terms.
- Subscriptions renew automatically at the end of each billing period until cancelled.
- You may cancel at any time. Access to the paid tier continues until the end of the current billing period.
- Prices may change with 30 days' notice. An existing subscription keeps its current price until its next renewal after the notice period.
5. Free tier and trial
Jorv is free for one person. An organisation may try Pro once, for 14 days, from inside Jorv; no payment card is required. When the trial ends the organisation continues on Pro if it subscribes, and otherwise returns to the Free tier. Nothing is deleted at the end of a trial or a subscription: your missions, graph and history remain readable and exportable.
6. Refunds
Refunds are described in our Refund Policy, which forms part of these Terms.
7. Your licence to use Jorv
Subject to these Terms and any fees due, we grant you, as Atmospherique Pty Ltd's authorised distributor, a non-exclusive, non-transferable licence to install and use Jorv for the number of seats and the tier you have, for as long as your licence or subscription is active.
8. Acceptable use
You agree not to:
- Reverse engineer, decompile or disassemble the software, except where the law allows it despite this limitation.
- Share, sell or sublicense your licence, connect codes or seats to others.
- Circumvent licence checks, seat counts, access restrictions or usage limits.
- Use the Services to break the law, infringe anyone's rights, or create or distribute malware.
- Use the Services in breach of the usage policies of the AI providers you connect.
- Interfere with the Services or with other customers' use of them.
9. Your content and AI output
Your code, documents, data and the output Jorv produces for you ("Your Content") belong to you or your organisation. We claim no ownership of it, and because Jorv runs on your own infrastructure, we do not receive or store it.
AI output can be wrong, incomplete or similar to other people's work. You are responsible for reviewing it before you rely on it, publish it or ship it.
10. Intellectual property
Jorv, its software, design, logo, mascot and trademarks are owned by Atmospherique Pty Ltd and are protected by intellectual property laws; Jorv Pty Ltd distributes Jorv under licence from Atmospherique Pty Ltd. Apart from the licence in section 7, these Terms give you no rights in them. If you send us feedback, we may use it without obligation to you.
11. Privacy
Our Privacy Policy explains what data we collect and how we handle it, for the website and the Jorv app.
12. Suspension and termination
You may stop using the Services and cancel your subscription at any time. We may suspend or end your access if you materially breach these Terms, if we must do so by law, or to protect the Services or other customers; where it is reasonable, we will tell you first and give you a chance to fix the problem. If we end the Services for reasons other than your breach, we will refund any prepaid fees for the unused period. After termination you may still export Your Content for at least 30 days.
13. Consumer law
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law, and you may have similar rights under the consumer laws of your country. Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, that the law implies or imposes and that cannot lawfully be excluded or limited. Sections 14 and 15 apply only to the extent the law allows.
14. Disclaimer of warranties
Subject to section 13, the Services are provided "as is" and "as available". We do not warrant that they will be uninterrupted or error-free, or that AI output will be accurate or suitable for any particular purpose.
15. Limitation of liability
Subject to section 13, we are not liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profits, revenue, data or goodwill. Our total liability arising out of or in connection with the Services is limited to the amount you paid for them in the 12 months before the event giving rise to the claim. Where the law allows us to limit our liability for failing to meet a consumer guarantee, our liability is limited to supplying the services again or paying the cost of having them supplied again.
16. Governing law
These Terms are governed by the laws of Queensland, Australia, and the courts of Queensland have non-exclusive jurisdiction. If you are a consumer, this does not take away the protection of the mandatory laws of the country where you live.
17. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page, update the "Last updated" date, and give at least 30 days' notice by email of any change that materially reduces your rights. Your continued use of the Services after a change takes effect means you accept the updated Terms.
